Conditions

Introduction

The Policy on Intellectual and Private Property delineates the conditions, principles, and protections for intellectual and private property that are integral to the Agreement you enter into whenever — and wherever — you commence or continue any conduct or service relating in any way, directly or indirectly, to The Ikoku Charitable Trusts. Please, therefore, take the time to read what follows carefully.

Your Policy Agreements

Section 16.1.0. First, with respect to the Intellectual and Private Property Policy you enter into via your Agreement with the Codes and Policies, you understand and agree to abide by the following:

16.1.1. Policy, Name, Nature
that the name of this Policy is the “Policy on Intellectual and Private Property of The Chinyere and Chinelo Ikoku Charitable Trusts” (the “Intellectual and Private Property Policy,” the “Intellectual and Private Property Policy,” and the “Private Property Policy”) and that the nature of this Policy is to serve as the policy on intellectual and private property of The Chinyere and Chinelo Ikoku Charitable Trusts;
16.1.2. Policy, Composition
that the Intellectual and Private Property Policy consists of all conditions, principles, protections, and equivalent provisions for intellectual and private property in the Codes and Policies of The Chinyere and Chinelo Ikoku Charitable Trusts (the “Codes and Policies” and the “Policies”) and The Ikoku Charitable Trusts Conduct and Service Agreement (the “Agreement”), which therefore include, but are not limited to, those delineated below;
16.1.3. Policy, Agreement
that you understand the Intellectual and Private Property Policy to be an integral part of the Codes and Policies and the Agreement you enter into with The Ikoku Charitable Trusts;
16.1.4. Policy, Consent
that your consent to the Codes and Policies and the Agreement includes your legally equivalent consent to the Intellectual and Private Property Policy;
16.1.5. Policy, Duties
that your duties to the Codes and Policies and the Agreement includes your legally equivalent duties to the Intellectual and Private Property Policy;
16.1.6. Policy, Entry
that your entry into the Agreement includes your legally equivalent entry into the Intellectual and Private Property Policy, and similarly occurs whenever you commence or continue any conduct or service at, by, for, in, on, with or otherwise relating to The Ikoku Charitable Trusts;
16.1.7. Policy, Legally Abiding
that your attestation about your reading, understanding, consenting and agreeing to legally abide by the Codes and Policies and the Agreement includes your legally attestation about your reading, understanding, consenting and agreeing to legally abide by the Intellectual and Private Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder;
16.1.8. Policy, Legally Binding
that your attestation about your reading, understanding, consenting and agreeing to be legally bound by the Codes and Policies and the Agreement includes your legally equivalent attestation about your reading, understanding, consenting and agreeing to be legally bound by the Intellectual and Private Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder;
16.1.9. Policy, Knowledge
that your attestation about your awareness and acceptance of your responsibility to keep informed and update your knowledge of the Codes and Policies and the Agreement includes your legally equivalent awareness and acceptance of your responsibility to keep informed and update your knowledge of the Intellectual and Private Property Policy, in its entirety without modification or severability, as amended from time to time solely by the Founder.

Your Policy Understandings

Section 16.2.0. Second, with respect to your understandings of the Intellectual and Private Property Policy, you covenant, represent, and warrant the following:

16.2.1. Policy Understandings
that you have read, understood, consented to, and agreed to be legally bound by and abide by applicable understandings of intellectual and private property as they are normally operative and reasonably interpreted in law, policy, and society;
16.2.1.1. Policy Understandings, A
the above including such understandings of intellectual property protecting, providing for, and otherwise pertaining to artistic, ideational and procedural creations, goods, inventions, plans, products, and other material and matter that derive from a person’s intellect and mind and may be acquired, applied for, administered, developed, owned, subject to, transacted or used as branding, content, copyright, design, franchise, method, license, logo, mark (service or trade), patent, process, trade secret, or equivalent and attendant proprietary rights;
16.2.1.2. Policy Understandings, B
the above including such understandings of private property protecting, providing for, and otherwise pertaining to creations, goods, plans, products, and other material and matter that may be acquired, applied for, administered, developed, owned, subject to, transacted or used as asset, belonging, currency, deed, estate, financing, fund, inheritance, real estate, security, share, stock, or equivalent and attendant proprietary rights;
16.2.2. Policy Understandings, Conditions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property conditions as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you;
16.2.3. Policy Understandings, Definitions
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property definitions as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you;
16.2.4. Policy Understandings, Practices
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property practices as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you;
16.2.5. Policy Understandings, Principles
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property principles as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you;
16.2.6. Policy Understandings, Processes
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property processes as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you;
16.2.7. Policy Understandings, Rights
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property rights as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not infringed or violated, in any way, by you;
16.2.8. Policy Understandings, Safeguards
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property safeguards and resulting protections as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to be fulfilled and respected and not breached or violated, in any way, by you;
16.2.9. Policy Understandings, Violations
that you have read, understood, consented to, and agreed to be legally bound by and abide by understandings of intellectual and private property breach, diminishment, incompatibility, infringement, and violation as they are defined and provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation, to not be brought about, in any way, by you.

Your Policy Commitments

Section 16.3.0. Third, with respect to your commitments to the Intellectual and Private Property Policy, you understand and agree to abide by the following:

16.3.1. Policy Commitments, Basis
that your commitment is the basis for any conduct or service at, by, for, in, on, with, or otherwise relating to The Ikoku Charitable Trusts that you commence or continue — including via any of the Products or Services, or the divisions, series, subsidiaries, or affiliates — and that any such conduct or service is free of any infringement of the most humane, protective and respectful interpretations of intellectual and private property, the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.2. Policy Commitments, Conditions
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property conditions, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.3. Policy Commitments, Definitions
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property definitions, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.4. Policy Commitments, Principles
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property principles, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.5. Policy Commitments, Processes
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property processes, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.6. Policy Commitments, Rights
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property rights, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.7. Policy Commitments, Safeguards
that this commitment include but not be limited to upholding for every person at The Ikoku Charitable Trusts the most humane, protective and respectful interpretations of intellectual and private property safeguards and resulting protections, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.8. Policy Commitments, Practices
that you respectfully assist solely via Your Duties as described in the Codes and Policies and the Intellectual and Private Property Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to translate the aforementioned commitments into practices for adopting and applying policies pertaining to intellectual and private property; for adjudicating and determining compliance with the policies; and for fulfilling The Ikoku Charitable Trusts’s own duties pertaining to intellectual and private property, intellectual and private property conditions, intellectual and private property definitions, intellectual and private property principles, intellectual and private property processes, intellectual and private property rights, and intellectual and private property safeguards and their resulting protections, including as provided for in the Intellectual and Private Property Policy, the Codes and Policies, and applicable law and regulation;
16.3.9. Policy Commitments, Protections
that you also respectfully assist solely via Your Duties as described in the Codes and Policies and the Intellectual and Private Property Policy and in no way interfere with or impede the reasonable efforts authorized and executed solely by the Founder to develop and enforce intellectual and private property protections derived from, first, applicable law and regulation, and second, from advances in intellectual and private property that protect persons in ways that go beyond what such law and regulation currently provides.

Principles

Provision

The Policy on Intellectual and Private Property requires your adherence to the conditions above and correlative principles delineated below.

A — On Property

Conditions for Property

Section 16.5.0. With respect to conditions for property, you understand and agree to abide by the following:

16.5.1. Property Conditions
that, in addition to your Agreement, you do not infringe, in any way, the ensuing conditions for property;
16.5.2. Property Conditions, Administration
that the property and proprietary administration of The Ikoku Charitable Trusts and provisions attendant to such property and proprietariness — as administered solely by the Founder, and executed solely via the Founder’s authorization — are attained, maintained and protected, and not infringed in any way;
16.5.3. Property Conditions, Areas
that property and proprietary administration in areas, offices, parts, properties, sections, and equivalent of The Ikoku Charitable Trusts — and attendant principles and provisions for such property and proprietariness — are attained, maintained and protected, and not infringed in any way;
16.5.4. Property Conditions, Founder
that property and proprietary administration for and of the Founder and Founder-related activities, administration, conduct, and service — and attendant principles and provisions for such property and proprietariness — are attained, maintained and protected, and not infringed in any way;
16.5.5. Property Conditions, Ownership
that the property and proprietary ownership of The Ikoku Charitable Trusts and the rights attendant to such property and proprietariness — including that protecting, providing for, valuing, and otherwise pertaining to the property and proprietary controllership, estate-, interest-, share-, stake- and stock-holding, fiduciariship, ownership, and equivalent of The Ikoku Charitable Trusts, solely and wholly by the Founder, Alvan Azinna Chibuzo Ikoku — are attained, maintained and protected, and not infringed in any way;
16.5.6. Property Conditions, Practices
that practices for ensuring property and proprietary administration at The Ikoku Charitable Trusts, including through its conduct and service — and attendant principles and provisions for such practices — are attained, maintained and protected, and not infringed in any way;
16.5.7. Property Conditions, Reporting
that measures for reporting actual, anticipated or apparent infringement relating to property at The Ikoku Charitable Trusts — and attendant principles and provisions for such reporting — are attained, maintained and protected, and not infringed in any way;
16.5.8. Property Conditions, Understanding
with the understanding that the aforementioned and other conditions for property at The Ikoku Charitable Trusts are authorized, administered and adjudicated for compliance solely by the Founder, and executed solely via the Founder’s authorization.

Duties for Property

Section 16.6.0. With respect to duties for property, you understand and agree to abide by the following:

16.6.1. Property Duties
that, in addition to your Agreement, you fulfill and do not infringe, in any way, the ensuing duties for property;
16.6.2. Property Duties, Activity
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of an act or activity of The Ikoku Charitable Trusts;
16.6.3. Property Duties, Agent
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of an agent, party, or other person of The Ikoku Charitable Trusts;
16.6.4. Property Duties, Arrangement
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of an arrangement of The Ikoku Charitable Trusts;
16.6.5. Property Duties, Conduct, Service
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of a conduct or service of The Ikoku Charitable Trusts;
16.6.6. Property Duties, Entity, Organization
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of The Chinyere and Chinelo Ikoku Charitable Trusts, including as a proprietary organization and as an entity of proprietary administration;
16.6.7. Property Duties, Expectation
that you have a duty to consider and not infringe, in any way, an expectation of property and proprietary administration at The Ikoku Charitable Trusts that is meaningful and reasonable;
16.6.8. Property Duties, Material
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of a material of The Ikoku Charitable Trusts;
16.6.9. Property Duties, Matter
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of a matter of The Ikoku Charitable Trusts;
16.6.10. Property Duties, Procedure
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of a procedure, proceeding, or process of The Ikoku Charitable Trusts;
16.6.11. Property Duties, Relation
that you have a duty to maintain and not infringe, in any way, the property and proprietary administration of a relation or relationship of The Ikoku Charitable Trusts;
16.6.12. Property Duties, Request
that you have a duty to consider and not infringe, in any way, a request for property and proprietary administration at The Ikoku Charitable Trusts that is meaningful and reasonable;
16.6.13. Property Duties, Understanding
with the understanding that your sole means of fulfilling the aforementioned and other duties for property is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of property and proprietary administration, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.

Rights for Property

Section 16.7.0. With respect to rights for property, you understand and agree to abide by the following:

16.7.1. Property Rights
that, in addition to your Agreement, you respect and do not infringe, in any way, the ensuing rights for property;
16.7.2. Property Rights, Civil
that you respect and do not infringe, in any way, rights for property and proprietary administration accorded to persons at The Ikoku Charitable Trusts by their applicable state or territorial governments;;
16.7.3. Property Rights, Legal
that you respect and do not infringe, in any way, rights for property and proprietary administration accorded to persons at The Ikoku Charitable Trusts by applicable law and regulation;
16.7.4. Property Rights, Entity, Organization
that you respect and do not infringe, in any way, rights for property and proprietary administration of The Ikoku Charitable Trusts, including rights of property accorded to The Chinyere and Chinelo Ikoku Charitable Trusts, as a proprietary organization and entity of proprietary administration, via the Codes and Policies;
16.7.5. Property Rights, Human
that you respect and do not infringe, in any way, human and natural rights for property and proprietary administration accorded to natural persons at The Ikoku Charitable Trusts via the Codes and Policies, including absolute rights for property and proprietary administration of a human’s inner being, body, brain, as well as inner self, soul, spirit;
16.7.6. Property Rights, Understanding
with the understanding that your sole means of respecting the aforementioned and other rights for property is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of property and proprietary administration, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.

Safeguards for Property

Section 16.8.0. With respect to rights for property, you understand and agree to abide by the following:

16.8.1. Property Safeguards
that, in addition to your Agreement, you maintain and do not infringe, in any way, the ensuing safeguards for property;
16.8.2. Property Safeguards, Activity
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of an act or activity of The Ikoku Charitable Trusts;
16.8.3. Property Safeguards, Agent
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietaryy administration of an agent, party, or other person of The Ikoku Charitable Trusts;
16.8.4. Property Safeguards, Arrangement
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of an arrangement of The Ikoku Charitable Trusts;
16.8.5. Property Safeguards, Conduct, Service
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of a conduct or service of The Ikoku Charitable Trusts;
16.8.6. Property Safeguards, Entity, Organization
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of The Chinyere and Chinelo Ikoku Charitable Trusts, including as a proprietary organization and as an entity of proprietary administration;
16.8.7. Property Safeguards, Expectation
that you consider and not infringe, in any way, an expectation to safeguard property and proprietary administration at The Ikoku Charitable Trusts that is meaningful and reasonable;
16.8.8. Property Safeguards, Material
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of a material of The Ikoku Charitable Trusts;
16.8.9. Property Safeguards, Matter
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of a matter of The Ikoku Charitable Trusts;
16.8.10. Property Safeguards, Procedure
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of a procedure, proceeding, or process of The Ikoku Charitable Trusts;
16.8.11. Property Safeguards, Relation
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard the property and proprietary administration of a relation or relationship of The Ikoku Charitable Trusts;
16.8.12. Property Safeguards, Request
that you consider and not infringe, in any way, a request to safeguard property and proprietary administration at The Ikoku Charitable Trusts that is meaningful and reasonable;
16.8.13. Property Safeguards, Rights
that you maintain and not infringe, in any way, practices, processes, protections, and other provisions to safeguard rights for property and proprietary administration, including rights to such safeguards;
16.8.14. Property Safeguards, Understanding
with the understanding that your sole means of maintaining the aforementioned and other safeguards for property is by refraining from and reporting — via fully informing communication directly to the Founder — any infringement of property and proprietary administration, and furthermore, not in any way diminishing or hindering the Founder’s sole discretion and powers to adjudicate and remedy such infringements.

B — On Property Administration

Sole Administration

Section 16.9.0. With respect to the administration of intellectual and private property, you understand and agree to abide by the following:

16.9.1. Property Administration
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all administrative powers over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole administration of such intellectual and private property;
16.9.2. Property Administration, Acquisition
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to acquire or otherwise obtain intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such acquisition or equivalent;
16.9.3. Property Administration, Application, Registration
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to apply for, register, and otherwise secure intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such application, registration, or equivalent;
16.9.4. Property Administration, Enforcement
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all property and proprietary powers and rights to enforce protections, permissions, and rights pertaining to intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, such enforcement or equivalent;
16.9.5. Property Administration, Understanding
with the understanding that such administration of intellectual and private property is to be executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization, with such administration not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole administrator and sole manner of administration, and with such administration also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Authorization

Section 16.10.0. With respect to authorization for intellectual and private property, you understand and agree to abide by the following:

16.10.1. Property Authorization, Sole Authorizer
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all authorization powers and rights over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole authorization and authorizer powers, rights, and roles pertaining to such intellectual and private property;
16.10.2. Property Authorization, Sole Franchiser
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all franchising powers and rights over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole franchising and franchisor powers, rights, and roles pertaining to such intellectual and private property;
16.10.3. Property Authorization, Sole Licensor
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all licensing powers and rights over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole licensing and licensor powers, rights, and roles pertaining to such intellectual and private property;
16.10.4.Property Authorization, Sole Permitter
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all usage permission powers and rights over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole usage permission and permitter powers, rights, and roles pertaining to such intellectual and private property;
16.10.5. Property Authorization, Sole Third-Party Arranger
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all powers and rights to make any third-party and transfer arrangements involving intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole third-party and transfer arrangement and arranger powers, rights, and roles pertaining to such intellectual and private property;
16.10.6. Property Authorization, Understanding
with the understanding that such authorization pertaining to intellectual and private property is to be executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization, with such authorization not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole authorizer and sole manner of authorization, and with such authorization also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Ownership

Section 16.11.0. With respect to the ownership of intellectual and private property, you understand and agree to abide by the following:

16.11.1. Property Ownership, by Founder
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over intellectual and private property relating, in any way, to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such intellectual and private property and associated property and proprietary powers and rights;
16.11.2. Property Ownership, Acquisition
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over acquisition of intellectual and private property at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such acquisition of intellectual and private property;
16.11.3. Property Ownership, Application, Registration
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over applications, registrations, and other securings of intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such applications, registrations, and other securings of intellectual and private property;
16.11.4. Property Ownership, Franchise, License, Permissions
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over franchises, licenses, and other usage permissions of intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such franchises, licenses, and other usage permissions of intellectual and private property;
16.11.5. Property Ownership, Logos, Marks, Names, Slogans
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over all logos, marks, names, slogans, symbols, text, visual and graphic material, or equivalent, or derivations or variations thereof, in part or in whole, relating in any way to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such intellectual and private property, with the legally binding understanding that such ownership includes, but is not limited to, all names and marks of “The Chinyere and Chinelo Ikoku Charitable Trusts,” “The Ikoku Charitable Trusts,” “The Ikoku Trusts,” “The Ikoku Trust,” “Ikoku Trusts,” “Ikoku Trust” and derivations and variations thereof;
16.11.6. Property Ownership, Patents
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights over all designs, ideas, innovations, inventions, patents, or equivalent, or derivations or variations thereof, in part or in whole, relating in any way to The Ikoku Charitable Trusts — with the exception of External Intellectual Property — that such ownership is fully, solely and wholly awarded to and owned by the Founder, and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole ownership of such intellectual and private property;
16.11.7. Property Ownership, Upheld by Policy, Law
that The Ikoku Charitable Trusts requires and ensures that the aforementioned ownership, property and proprietary powers and rights over intellectual and private property is to be protected and upheld by company policy and applicable law and regulation;
16.11.8. Property Ownership, Under Copyright, Mark, Patent
that all intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts, including associated assets, material, and matter, is to be under copyright, patent, service- and trademark, and equivalent — with the exception of External Intellectual Property — that such copyright, patent, service- and trademark, and equivalent is fully, solely and wholly awarded to and owned by Alvan Azinna Chibuzo Ikoku, the Founder, and such ownership of copyright, patent, service- and trademark, and equivalent is to be protected and upheld by company policy and applicable law and regulation;
16.11.9. Property Ownership, With Exception, External
with the understanding that, as indicated, all the aforementioned is to apply to any intellectual property relating, in any way, to The Ikoku Charitable Trusts, with the exception of External Intellectual Property as defined in the Codes and Policies.

C — On Property Permissions

As Authorized Use

Section 16.12.0. With respect to authorized permission as the basis for use of intellectual and private property, you understand and agree to abide by the following:

16.12.1. Authorized Use, Basis
that The Ikoku Charitable Trusts requires and ensures authorized permission is the basis for any use of intellectual and private property, including via conduct or service relating, in any way, to The Ikoku Charitable Trusts;
16.12.2. Authorized Use, Request, Receipt
that, except as otherwise noted, The Ikoku Charitable Trusts requires and ensures you request and receive such authorized permission from The Ikoku Charitable Trusts before you copy, distribute, display, download, or otherwise involve or use any intellectual and private property, or derivations or variations thereof, in part or in whole, relating in any way to The Ikoku Charitable Trusts or the Founder;
16.12.3. Authorized Use, Sole Authorizer
that The Ikoku Charitable Trusts requires and ensures such authorized permission is provided solely by the Founder, Alvan Azinna Chibuzo Ikoku, and executed solely by the Founder’s authorization (“Authorized Property Permission”), with such authorization not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — and also not allowed to be delegated to or otherwise assumed by any other entity, office, or person;
16.12.4. Authorized Use, Where Publicizing
that whenever any conduct, service, or equivalent relating to The Ikoku Charitable Trusts involves the continual, real-time, recorded or repeat publication, publicizing, publishing, or equivalent — such as broadcasting, dissemination, streaming, or transmission — of a natural person or of personal data or information, The Ikoku Charitable Trusts considers such conduct or service to entail usage of intellectual and private property intrinsically associated with the person’s public persona and thus The Ikoku Charitable Trusts requires additional consent from the person concerned (“Authorized Publicity Permission”) taking the form of the Authorized Property Permission provided solely by the Founder, Alvan Azinna Chibuzo Ikoku, with the details for both permissions as delineated further below.

As Permitted Use

Section 16.13.0. With respect to such authorization as specifying permitted use of intellectual and private property, you understand and agree to abide by the following:

16.13.1. Permitted Use, Authorization
that you and The Ikoku Charitable Trusts do not treat any intellectual or private property relating, in any way, to The Ikoku Charitable Trusts or the Founder, or their conduct or service — including any act, activity, agent, arrangement, asset, or involved material or matter — as usable or equivalent, in any way, unless the Founder has provided and not revoked his authorization that such intellectual or private property is permitted to be used or equivalent, and where such authorization is provided and unrevoked, the Founder explicitly, expressly and specifically states the terms for use or equivalent as the “Authorized Property Permission” delineated below;
16.13.2. Permitted Use, Aspect
the specific aspect or instance of intellectual or private property — including any activity, agent, arrangement, asset, or involved material or matter — being permitted to be used or equivalent;
16.13.3. Permitted Use, Activity
the ethical, lawful and specific activity, conduct, service, or use being permitted on the above intellectual or private property;
16.13.4. Permitted Use, Aim
the ethical, lawful and specific aim, goal, objective, or purpose of permitting the above activity, conduct, service, or use on the above intellectual or private property;
16.13.5. Permitted Use, Benefits
the ethical, lawful and specific benefits to The Ikoku Charitable Trusts or the Founder, and any other person concerned, of permitting the above activity, conduct, service, or use on the above intellectual or private property;
16.13.6. Permitted Use, Costs
the ethical, lawful and specific costs to The Ikoku Charitable Trusts or the Founder, and any other person concerned, of permitting the above activity, conduct, service, or use on the above intellectual or private property;
16.13.7. Permitted Use, Duration
the ethical, lawful and specific duration – and time considerations or implications – for permitting the above activity, conduct, service, or use on the above intellectual or private property;
16.13.8. Permitted Use, Manner
the ethical, lawful and specific manner, means, method, or mode — including arrangement, display, or equivalent of any material — of effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.9. Permitted Use, Materials
the ethical, lawful and specific categories or types of materials involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.10. Permitted Use, Matters
the ethical, lawful and specific categories or types of matters involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.11. Permitted Use, Persons
the ethical, lawful and specific categories or types of persons involved in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.12. Permitted Use, Places
the ethical, lawful and specific categories or types of places, venues, or equivalent for effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.13. Permitted Use, Risks
the ethical, lawful and specific risks to The Ikoku Charitable Trusts or the Founder and any other person concerned — including but not limited to harms and their effect, extent, likelihood, remedy — in effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.14. Permitted Use, Safeguards
the ethical, lawful and specific safeguards — of benefits and against risks to The Ikoku Charitable Trusts or the Founder and any other person concerned — for effecting or facilitating the above activity, conduct, service, or use on the above intellectual or private property;
16.13.15. Permitted Use, Source
the specific attribution, citation, linkage, reference, and other indication of ownership and source of the above intellectual or private property — with, wherever applicable, a copyright, service- or trademark attribution notice included in the credit section giving notice of The Ikoku Charitable Trusts’s ownership of the copyright, service- or trademark, or equivalent; and with, additionally, clear mention of The Ikoku Charitable Trusts or permitted division, subsidiary, or affiliate of The Ikoku Charitable Trusts and linkage to one of the Sites, which must include the following statement: “Used with permission from The Ikoku Charitable Trusts,” where “The Ikoku Charitable Trusts” may also be replaced with or followed by the name of one of its permitted divisions, subsidiaries, or affiliates; and furthermore, wherever your use includes references to one of the Products or Services, you use the full name of the good, product, program, service, site, or equivalent, with no images used as a link to such good, product, program, service, site, or equivalent, but rather such link made only by using a plain text link with a clause equivalent or similar to, for example, “see this service at [insertlink.com].”
16.13.16. Permitted Use, Status
the ethical, lawful and specific procedures of keeping The Ikoku Charitable Trusts or the Founder informed of the status of the above activity, conduct, service, or use on the above intellectual or private property;
16.13.17. Permitted Use, Subject to Inspection
the ethical, lawful and specific procedures of having the above activity, conduct, service, or use on the above intellectual or private property subject to inspection by The Ikoku Charitable Trusts and the Founder, with subsequent granting or revocation of authorization and permission for such use at the absolute, complete and sole discretion of the Founder;
16.13.18. Permitted Use, Voluntary
the ethical, lawful and specific means by which the Founder shall voluntarily give, maintain, or revoke such authorization for permitting the above activity, conduct, service, or use on the above intellectual or private property;
16.13.19.1. Permitted Use, as Confirmed, Processes
all of the above as confirmed – even repeated, where appropriate – via processes conducted by The Ikoku Charitable Trusts, via the Founder’s authorization, and not to be substituted by processes conducted by other persons;
16.13.19.2. Permitted Use, as Confirmed, Writing
with none of the above being acceptable as authorization when indicated, provided or otherwise received orally or vocally or via any form other than written;
16.13.19.3. Permitted Use, as Confirmed, Non-Presumed
and with none of the above being acceptable as authorization when assumed, presumed or equivalent, and only upon meeting all requirements and standards above may such authorization be deemed confirmed.

As Restricted Use

Section 16.14.0. With respect to such authorized permission as restricting use of intellectual and private property, you understand and agree to abide by the following:

16.14.1. Restricted Use, Authorization
that for the duly requested and granted authorization and permission described above (“Authorized Property Permission”) concerning specific intellectual and private property (“Usable Property”) to be and remain valid for any uses permitted, you covenant, represent, and warrant your adherence to the explicitly, expressly and specifically stated terms for use delineated below;
16.14.2. Restricted Use, Aspect
that you only use the permitted aspect or instance of intellectual or private property specified in the Authorized Property Permission and that you not alter, change, or otherwise modify the Usable Property;
16.14.3. Restricted Use, Activity
that you only engage in the permitted activity, conduct, service, or use specified in the Authorized Property Permission;
16.14.4. Restricted Use, Aim
that you only engage in the above use solely to further the noncommercial and permitted aim, goal, objective, or purpose specified in the Authorized Property Permission;
16.14.5. Restricted Use, Benefits
that you only engage in the above use solely to effect or facilitate the noncommercial and permitted benefits specified in the Authorized Property Permission;
16.14.6. Restricted Use, Costs
that you only engage in the above use solely at the permitted costs specified in the Authorized Property Permission;
16.14.7. Restricted Use, Duration
that you only engage in the above use solely for the permitted duration and time specified in the Authorized Property Permission;
16.14.8. Restricted Use, Manner
that you only engage in the above use solely via the permitted manner, means, method, or mode specified in the Authorized Property Permission;
16.14.9. Restricted Use, Materials
that you only engage in the above use solely on the permitted categories or types of materials specified in the Authorized Property Permission;
16.14.10. Restricted Use, Matters
that you only engage in the above use solely for the permitted categories or types of matters specified in the Authorized Property Permission;
16.14.11. Restricted Use, Persons
that you only engage in the above use solely with the permitted categories or types of persons specified in the Authorized Property Permission;
16.14.12. Restricted Use, Place
that you only engage in the above use solely at the permitted places, venues, and equivalent specified in the Authorized Property Permission;
16.14.13. Restricted Use, Risks
that you only engage in the above use solely at the permitted risks specified in the Authorized Property Permission;
16.14.14. Restricted Use, Safeguards
that you only engage in the above use solely with the permitted safeguards specified in the Authorized Property Permission;
16.14.15. Restricted Use, Source
that you only engage in the above use solely with the permitted attribution, citation, linkage, reference, and other indication of ownership and source of the Usable Property specified in the Authorized Property Permission;
16.14.16. Restricted Use, Status
that you only engage in the above use solely with the permitted procedures of informing The Ikoku Charitable Trusts and the Founder specified in the Authorized Property Permission;
16.14.17. Restricted Use, Subject to Inspection
that you only engage in the above use solely with the permitted procedures for subjecting such use and the Usable Property to inspection specified in the Authorized Property Permission;
16.14.18. Restricted Use, Voluntary
that you only engage in the above use solely with the permitted means for voluntary authorization specified in the Authorized Property Permission.

As Third-Party Use

Section 16.15.0. With respect to to such authorized permission of third-party franchise, license, or equivalent use of intellectual and private property, you understand and agree to abide by the following:

16.15.1. Third-Party License, Authorization
that for the duly requested and granted authorization and permission described above (“Authorized Property Permission”), in highly restricted circumstances, concerning the franchise, license, or equivalent use (“Authorized Franchise” and “Authorized License”) of The Ikoku Charitable Trusts-associated, -created, -developed or -owned intellectual and private property (“Franchised Property” and “Licensed Property”) by an authorized third-party (“Authorized Third-Party Franchisee” and “Authorized Third-Party Licensee”) to be and remain valid for any uses permitted, you covenant, represent, and warrant your adherence to the explicitly, expressly and specifically stated terms for use delineated below;
16.15.1.1. Third-Party License, Aspect
that you, as the Authorized Third-Party Franchisee or Licensee, only use the permitted aspect or instance of intellectual or private property specified in the Authorized Property Permission and Authorized Franchise or License and that you not alter, change, or otherwise modify the Franchised or Licensed Property;
16.15.1.2. Third-Party License, Activity
that you only engage in the permitted activity, conduct, service, or use specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.3. Third-Party License, Aim
that you only engage in the above use solely to further the noncommercial and permitted aim, goal, objective, or purpose specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.4. Third-Party License, Benefits
that you only engage in the above use solely to effect or facilitate the noncommercial and permitted benefits specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.5. Third-Party License, Costs
that you only engage in the above use solely at the permitted costs specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.6. Third-Party License, Duration
that you only engage in the above use solely for the permitted duration and time specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.7. Third-Party License, Manner
that you only engage in the above use solely via the permitted manner, means, method, or mode specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.8. Third-Party License, Materials
that you only engage in the above use solely on the permitted categories or types of materials specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.9. Third-Party License, Matters
that you only engage in the above use solely for the permitted categories or types of matters specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.10. Third-Party License, Persons
that you only engage in the above use solely with the permitted categories or types of persons specified in the Authorized Property Permission. and Authorized Franchise or License
16.15.1.11. Third-Party License, Place
that you only engage in the above use solely at the permitted places, venues, and equivalent specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.12. Third-Party License, Risks
that you only engage in the above use solely at the permitted risks specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.13. Third-Party License, Safeguards
that you only engage in the above use solely with the permitted safeguards specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.14. Third-Party License, Source
that you only engage in the above use solely with the permitted attribution, citation, linkage, reference, and other indication of ownership and source of the Usable Property specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.15. Third-Party License, Status
that you only engage in the above use solely with the permitted procedures of informing The Ikoku Charitable Trusts and the Founder specified in the Authorized Property Permission. and Authorized Franchise or License
16.15.1.16. Third-Party License, Subject to Inspection
that you only engage in the above use solely with the permitted procedures for subjecting such use and the Usable Property to inspection specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.1.17. Third-Party License, Voluntary
that you only engage in the above use solely with the permitted means for voluntary authorization specified in the Authorized Property Permission and Authorized Franchise or License;
16.15.2. Third-Party, Agreement
that in addition to the above Authorized Property Permission and Authorized Franchise or License The Ikoku Charitable Trusts will, for each case, craft and publicize an express and written Franchise, License or Third-Party Use Agreement and express and written Franchise, License or Third-Party Use Guidelines — or where permitted use includes fundraising on behalf of The Ikoku Charitable Trusts, the divisions, series, subsidiaries, and affiliates, or the Products and Services, express and written Third Party Fundraiser Agreement and express and written Third Party Fundraiser Guidelines — authorized by the Founder, specifying the following;
16.15.2.1. Third-Party, Agreement, Registrations
the explicit terms of the authorized places and venues where uses such as and equivalent to solicitations may occur, and of ensuring that any required licenses and registrations for such use are properly obtained;
16.15.2.2. Third-Party, Agreement, Deposit, Notification
the explicit terms of a highly restricted and specified timeframe for notification of the Founder and The Ikoku Charitable Trusts as well as transfer and depositing of any funds, revenues, or other assets generated by such use in specified accounts or holdings of The Ikoku Charitable Trusts;
16.15.2.3. Third-Party, Agreement, Designated Acknowledgment
the official person of The Ikoku Charitable Trusts — along with the Founder — authorized to send the required acknowledgments of receipt of funds, revenues, or other assets generated by such use;
16.15.2.4. Third-Party, Agreement, Message Approval
final inspection, review, and approval of messaging by the Founder, Alvan Azinna Chibuzo Ikoku.

As Unpermitted Use

Section 16.16.0. With respect to use of intellectual and private property without the aforementioned permission, you understand and agree to abide by the following general prohibition:

16.16.1. Unpermitted Use, Basis
that any and all use of intellectual and private property in any way acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts as described above — especially any such use for your commercial benefit or purpose, or in any manner that expresses or implies affiliation, association, endorsement, sponsorship, or equivalent by or with The Ikoku Charitable Trusts — is strictly prohibited;
16.16.2. Unpermitted Use, Exception
that wherever such intellectual and private property is concerned — and especially where there is conflict, confusion, non-clarity, or equivalent — such prohibition is to legally apply, override, supersede, and take effect and precedence, except as otherwise explicitly permitted by the Codes and Policies, the Intellectual and Private Property Policy, and by written authorization and permission as described herein as Authorized Property Permission;
16.16.3. Unpermitted Use, No Administration, Ownership
with the understanding that you not distribute, exchange, sell, trade, or otherwise transact the Usable Property for the purposes of assuming or claiming any administration, controllership, fiduciariship, or ownership powers, rights, or roles relating to such intellectual and private property, or derivations or variations thereof, in part or in whole, or for any other equivalent purposes;
16.16.4. Unpermitted Use, No Commercial Benefit, Use
with the understanding that you not distribute, exchange, sell, trade, or otherwise transact the Usable Property for a fee, for or with the accrual of material or monetary benefit, for any commercial purposes, or for any other equivalent purposes;
16.16.5. Unpermitted Use, No Derogatory, False Light
with the understanding that your use of the Usable Property not show The Ikoku Charitable Trusts; any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities in a derogatory or false light;
16.16.6. Unpermitted Use, No False Affiliation, Endorsement
with the understanding that you not use the Usable Property, or make any reference to The Ikoku Charitable Trusts, in any manner that creates a sense of false affiliation, association, endorsement, sponsorship, or equivalent by or with The Ikoku Charitable Trusts; any of the divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities; and a disclaimer of affiliation, association, endorsement, or sponsorship by or with The Ikoku Charitable Trusts, similar to the following, is included on all related materials: “[insert name of entity, person] is an independent [insert nature of entity, person] and is not affiliated, associated or sponsored by The Ikoku Charitable Trusts and [insert content, message, opinion] has not been approved or otherwise endorsed by The Ikoku Charitable Trusts,” where “The Ikoku Charitable Trusts” may also be replaced with or followed by the name of one of its permitted divisions, series, subsidiaries, or affiliates, if pertinent;
16.16.7. Unpermitted Use, No Imitation, Use of Design
with the understanding that you not imitate or otherwise use any of the designs, drawings, packaging, plans, prototypes, typefaces, or equivalent intellectual and private property acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts;
16.16.8. Unpermitted Use, No Imitation, Use of Mark
with the understanding that you not imitate or otherwise use any of the logos, servicemarks, trademarks, or equivalent intellectual and private property acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts;
16.16.9. Unpermitted Use, No Imitation, Use of Slogans
with the understanding that you not imitate or otherwise use any of the neologisms, phrasings, slogans, taglines, wordings, or equivalent intellectual and private property acquired, applied for, conceived, created, developed, innovated, invented, made, obtained, produced, purchased, owned, registered or otherwise administered at, by, for, in, on, via, with or otherwise in relation to The Ikoku Charitable Trusts;
16.16.10. Unpermitted Use, No Obscene, Harmful Use
with the understanding that your permitted use of the Usable Property not be obscene or pornographic, and not be disparaging, defamatory or libelous to The Ikoku Charitable Trusts, any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities;
16.16.11. Unpermitted Use, No Political Purpose, Implication
with the understanding that you not use the Usable Property in any manner that implies, suggests, or could otherwise be perceived as attributing a political motive, objective, opinion, or its equivalent to The Ikoku Charitable Trusts, any of its divisions, series, subsidiaries, or affiliates; any of the Products or Services; or any of its official persons or entities;
16.16.12. Unpermitted Use, No Unpermitted Disclosure, Use
with the understanding that you not disclose, distribute, or otherwise use such Usable Property — or any area, office, part, section, or property of The Ikoku Charitable Trusts or of the Products and Services — for or to any parties except as expressly permitted by the Authorized Property Permission, the Intellectual and Private Property Policy, and the Codes and Polices.

16.20.2. Protections, Cooptation
that The Ikoku Charitable Trusts protects itself and the Founder, as first priorities, then where reasonable, other natural persons from specifically relevant risks and threats to intellectual and private property resulting from attempts to coopt, take over, or otherwise usurp administration, control, governance, ownership, or equivalent of The Ikoku Charitable Trusts, including attempts that are collectivist, communal, communist, cooperative, governmental, judicial, regulatory, socialist or statist, as provided for in the Codes and Policies and applicable law and regulation;

16.22.1. Products, Services, Administration
that the Founder, Alvan Azinna Chibuzo Ikoku, is solely empowered with all administrative powers over the Products and Services, including the Sites, of The Ikoku Charitable Trusts — as provided for in the Codes and Policies and the Conditions for Governance — and you agree and promise to not compete with, interfere with, or infringe, in any way, the Founder’s absolute, complete and sole administration of the Products and Services;
16.22.2. Products, Services, Ownership
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, are solely empowered with all ownership, property and proprietary powers and rights concerning intellectual and private property conceived, created, developed, innovated, invented, made, purchased or otherwise processed or produced at, by, for, in, on, via, with or otherwise in relation to the Products and Services, including the Sites, of The Ikoku Charitable Trusts — to be fully, solely and wholly awarded to and owned by the Founder — and you agree and promise to not compete with, interfere with, or infringe, in any way, such ownership, property and proprietary powers and rights;
16.22.3. Products, Services, Sole Administration
with such administration of intellectual and private property relating to the Products and Services, including the Sites, of The Ikoku Charitable Trusts executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization; and with such administration not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole administrator and sole manner of administration, and with such administration also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

— Additional Protections

Section 16.23.0. With respect to any and all intellectual and private property relating, in any way, to the Products and Services, including the Sites, you understand and agree to abide by the following additional protections:

16.23.1. Usage, Authorization
that except as specifically permitted by the Authorized Property Permission or Authorized Franchise or License, or as permitted in the Intellectual and Private Property Policy, or as provided for more generally in the Codes and Policies, you may not access, duplicate, disseminate, or otherwise make any use of the Products and Services, including the Sites, or any portion thereof;
16.23.2. Usage, Authorization, Rights
that except as specifically permitted herein, you will not present, represent, or otherwise use any intellectual and private property or proprietary rights relating to the Products and Services, including the Sites, or The Ikoku Charitable Trusts, or the names of any individual contributor to the Products and Services, including the Sites, or any derivations or variations thereof, for any purpose, without prior written authorization of the Founder as described above;
16.23.3. Usage, Ownership
that the Products and Services, including the Sites, and all intellectual and private property they contain, display, and entail — including any involved arrangements, assets, material, and matter — are owned or licensed by The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, and are furthermore protected from any unauthorized distribution, duplication, or other use by copyrights, patents, service- and trade-marks, and other intellectual and private property and proprietary laws, rights, and treaties of the US, other countries, and international bodies;
16.23.4. Usage, Protected Work
that the Products and Services, including the Sites, are also protected and recognized as work under copyright, patent, service- and trade-mark, and other intellectual and private property and proprietary laws, rights, and treaties of the US, other countries, and international bodies — wholly belonging to and owned by The Ikoku Charitable Trusts and specifically the Founder, Alvan Azinna Chibuzo Ikoku — and all individual material, matter, and other contributions and elements making up the Products and Services, including the Sites, are also copyrighted works licensed to be used as part of the Products and Services, including the Sites, with no appearance, provision, submission, or other use or processing of any External Intellectual Property or User Property, as defined in the Codes and Policies, able or permitted to affect, change, diminish, or otherwise impact the protection, recognition, or absolute, complete, sole and whole ownership of the Products and Services, including the Sites, as well as their copyrights, patents, service- and trade-marks, and other intellectual and private property and proprietary rights by The Ikoku Charitable Trusts and the Founder, as provided for in the Intellectual and Private Property Policy and the Codes and Policies;
16.23.5. Usage, Rights
that all present and future rights in and to copyrights, know-how, patents, service- and trademarks, trade secrets, and other intellectual property and proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Products and Services, including the Sites, will at all times be and remain the sole and exclusive property of The Ikoku Charitable Trusts and specifically the Founder, Alvan Azinna Chibuzo Ikoku; and furthermore, that all present and future rights in and title to the Products and Services, including the Sites — including the right to administer, deploy, and otherwise produce or use the Products and Services, including the Sites, and any portions thereof, over any present or future technology — are reserved to The Ikoku Charitable Trusts and the Founder for their exclusive use;
16.23.6. Usage, Your Acknowledgement
that you acknowledge that the Products and Services, including the Sites, constitute valuable intellectual and private property of The Ikoku Charitable Trusts and specifically Alvan Azinna Chibuzo Ikoku, the Founder, and that their property and proprietary rights are under the absolute, complete and sole administration and ownership of the Founder;
16.23.7. Usage, Your Agreement to Abide
that you agree to abide by all applicable copyright, patent, service- and trademark, intellectual and private property laws, as well as any additional copyright and intellectual property notices or restrictions contained in the Products and Services, including the Sites;
16.23.8. Usage, Your Agreement to Protect
that you agree to protect the intellectual and private property and proprietary rights of The Ikoku Charitable Trusts and the Founder during and after the term of your access, conduct, service, and other use and visit relating, in any way, to the Products and Services, including the Sites, and The Ikoku Charitable Trusts, and to comply with all reasonable written requests made by The Ikoku Charitable Trusts to protect such intellectual and private property and proprietary rights;
16.23.9. Usage, Your Agreement to Report
that you agree to notify and report to The Ikoku Charitable Trusts and the Founder, directly and promptly, upon becoming aware of any unauthorized access, conduct, service, or other use or visit relating, in any way, to the Products and Services, including the Sites, and The Ikoku Charitable Trusts by any entity, office, or person, or upon becoming aware of any claim that any person or any access, conduct, service, or other use or visit relating, in any way, to the Products and Services, including the Sites, and The Ikoku Charitable Trusts infringes any intellectual and private property and proprietary protections or rights provided for in the Intellectual and Private Property Policy, the Codes and Polices, or applicable law or regulation.

— Limited Permission

Section 16.24.0. With respect to the scope and nature of a limited permission The Ikoku Charitable Trusts grants to you during your access, conduct, service, or other use or visit relating the Products and Services, including the Sites (the “Limited Permission”), you understand and agree to abide by the following:

16.24.1. Limited Permission, General
that your access, conduct, service, or other use or visit relating the Products and Services, including the Sites, is wholly consistent with a revocable, non-exclusive, non-transferable, limited permission — temporarily granted to you by The Ikoku Charitable Trusts — solely to access and display within the areas, parts, and sections of the Products and Services, including the Sites, that are authorized for your usage, for authorized conduct, service, use, or visit, and as an authorized, consenting and identified customer or potential customer, user or potential user, or visitor, and in a manner and mode that is viewable and reviewable by The Ikoku Charitable Trusts and the Founder;
16.24.2. Limited Permission, No Other Licenses, Rights
that — except for the Limited Permission described above — The Ikoku Charitable Trusts does not grant you any express or implied licenses or rights, whether under any copyrights, patents, service- or trademarks, or other intellectual or private property or proprietary rights;
16.24.3. Limited Permission, No Mirroring
that you shall not mirror any area, part, or section of the Products and Services, including the Sites — including any involved assets, material, or matter — on another product, service, or site or in any other media, place, or venue;
16.24.4. Limited Permission, Not Competing
that your access, conduct, service, or other use or visit relating the Products and Services, including the Sites, is not in any manner or for any purpose or use that could compete with any of the activities, businesses, or purposes of The Ikoku Charitable Trusts, its divisions, series, subsidiaries, or affiliates, or the Founder, Alvan Azinna Chibuzo Ikoku;
16.24.5. Limited Permission, Not Illegal, Inconsistent
that your access, conduct, service, or other use or visit relating the Products and Services, including the Sites, is not in any manner or for any purpose or use that effects or facilitates an infringement or violation of the Codes and Policies or applicable law or regulation;
16.24.6. Limited Permission, Policies Governance
that any software and other materials made available at the Products and Services, including the Sites, for your access, downloading, or other use, even with their own license terms, shall also be governed by the Intellectual and Private Property Policy, the Codes and Policies, and copyright, trademark and other intellectual property and proprietary notices provided by The Ikoku Charitable Trusts;
16.24.7. Limited Permission, Termination
that your failure to comply with the Intellectual and Private Property Policy, the Codes and Policies, applicable law or regulation, or any copyright, service- or trademark, or other intellectual property or proprietary notices provided by The Ikoku Charitable Trusts will result in automatic termination of any licenses or rights granted to you, without prior notice, and in such a case you agree that you must immediately destroy all copies of downloaded materials in your control, custody, or possession;
16.24.8. Limited Permission, Validity
that the limited permission described above shall remain valid provided you comply with the Intellectual and Private Property Policy, the Codes and Policies, and copyright, trademark and other intellectual property and proprietary notices provided by The Ikoku Charitable Trusts, and that they remain intact.

— User Data, Material, Property

Section 16.25.0. With respect to intellectual and private property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Products and Services, including the Sites, you understand and agree to abide by the following:

16.25.1. User Data
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts — may via certain expressly authorized activity, conduct, service, or equivalent generate “user data and information,” as provided for in the Codes and Policies;
16.25.1.1. User Data, Ownership
that The Ikoku Charitable Trusts — and specifically its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku — is the sole owner of any user data and information relating to The Ikoku Charitable Trusts, including but not limited to data and information accessed, collected, or otherwise processed via the Products and Services, or related, in any way, directly or indirectly, to your conduct or service;
16.25.1.2. User Data, Rights
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, solely retain all intellectual property and proprietary rights for any and all user data and information, including such sole rights to administer and authorize branding, franchises, licenses, permissions, and other usage, as provided for in the Intellectual and Private Property Policy and the Codes and Policies;
16.25.2. User Material
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts — may via certain expressly authorized activity, conduct, service, or equivalent be permitted to add to, contribute to, display, disseminate, edit, generate, modify, transform, or otherwise use “user material,” as provided for in the Codes and Policies;
16.25.2.1. User Material, Ownership
that The Ikoku Charitable Trusts — and specifically its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku — is the sole owner of any user material relating to The Ikoku Charitable Trusts, including but not limited to material contributed to, processed, or otherwise used via the Products and Services, or related, in any way, directly or indirectly, to your conduct or service;
16.25.2.2. User Material, Rights
that The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, solely retain all intellectual property and proprietary rights for any and all user material, including such sole rights to administer and authorize branding, franchises, licenses, permissions, and other usage; and that, for any needed further clarification, you hereby grant a License to The Ikoku Charitable Trusts in any user material related, in any way, directly or indirectly, to your conduct or service, as provided for in the Intellectual and Private Property Policy and the Codes and Policies;
16.25.3. User Property
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts — may via certain expressly authorized activity, conduct, service, or equivalent be permitted to curate, display, disseminate, post, share, or otherwise use “user property,” as provided for in the Codes and Policies;
16.25.3.1. User Property, Ownership
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts — attest to being the sole verifiable owner of any user property you display, post, share, or otherwise use via The Ikoku Charitable Trusts, including the Products and Services, or related, in any way, directly or indirectly, to your conduct or service; you further understand that The Ikoku Charitable Trusts welcomes any user property related, in any way, directly or indirectly, to your conduct or service — with the primary goal to enhance user experience and use of the Products and Services and improve The Ikoku Charitable Trusts’s efforts to fulfill its mission and purposes — and that, therefore, you do not provide any such user property that infringes the rights of other natural or legal persons;
16.25.3.2. User Property, Rights
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts — retain intellectual property and proprietary rights for your user property; and that, further, you hereby grant a License to The Ikoku Charitable Trusts in any User Property user property related, in any way, directly or indirectly, to your conduct or service, as provided for in the Intellectual and Private Property Policy and the Codes and Policies;
16.25.4. User-Related Processing, Consent
that The Ikoku Charitable Trusts does not access, collect, or otherwise process user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service, except as authorized and consented, as provided for in the Codes and Polices;
16.25.4.1. User-Related Processing, Circulation
that The Ikoku Charitable Trusts does not circulate, disclose, disseminate, or otherwise distribute user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service to any entities, offices, or persons outside of The Ikoku Charitable Trusts, except as expressly authorized and consented, as provided for in the Codes and Polices;
16.25.4.2. User-Related Processing, Delegation
that The Ikoku Charitable Trusts does not assign, delegate, or otherwise transfer user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service to any entities, offices, or persons outside of The Ikoku Charitable Trusts, except as expressly authorized and consented, as provided for in the Codes and Polices;
16.25.4.3. User-Related Processing, Non-Market
that The Ikoku Charitable Trusts does not buy, exchange, lease, rent, sell, or otherwise place into market user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service with any entities, offices, or persons outside of The Ikoku Charitable Trusts, except as expressly authorized and consented, as provided for in the Codes and Polices;
16.25.4.4. User-Related Processing, Primary
that, given the location of The Ikoku Charitable Trusts’s headquarters, offices, and primary operations in the United States, any user data and information, user material, or user property related, in any way, directly or indirectly, to your conduct or service may be processed and retained in, and where applicable, transferred to the United States; and that you understand and consent to such processing, retention, and transfer, recognizing that the United States mandates certain protections via applicable law and regulation, for which The Ikoku Charitable Trusts ensures compliance, and that such protection may not be the same as that required in others countries and territories;
16.25.4.5. User-Related Processing, Protection
that the Ikoku Group endeavors to access, collect, and otherwise process user data and information, user material, and user property related, in any way, directly or indirectly, to your conduct or service in manner that is authorized and protective, as provided for in the Codes and Policies, recognizing that no processing is absolutely or entirely protective.

Section 16.26.0. With respect to the granted license and permission concerning intellectual and private property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Sites or other Products and Services, you understand and agree to abide by the following:

16.26.1. User Property, Limited Permission
that The Ikoku Charitable Trusts solely grants to you the Limited Permission in any and all of your User Property, as such permission is described in the Intellectual and Private Property Policy and the Codes and Policies;
16.26.2. User Property, License, General
that you — as a contributor, consumer, customer, participant, user, visitor or equivalent person using or visiting the Products and Services, including the Sites, or The Ikoku Charitable Trusts contributing, providing, submitting, or otherwise using your User Property on the Products and Services, including the Sites, or The Ikoku Charitable Trusts — grant to The Ikoku Charitable Trusts and the Founder, Alvan Azinna Chibuzo Ikoku, a perpetual, nonexclusive, irrevocable, fully paid, royalty-free, sub-licensable and transferable (in whole or in part) worldwide right and license (“User Property License”);
16.26.3. User Property, License, Rights
to exercise all now or later existing intellectual property rights or other rights of yours or others in any and all of the User Property, now known or later developed, in full or in part, for purposes of supporting the mission and purposes of The Ikoku Charitable Trusts (as determined by The Ikoku Charitable Trusts and the Founder from time to time at their discretion) and in all possible media now known or later developed;
16.26.4. User Property, License, Rights Included
with the foregoing rights including, but not limited to, the right to adapt, copy, create derivative works based upon, curate, display, disseminate, distribute, modify, perform, publish in public or private venues (e.g. brochures, media, newspapers, reports, sites), read (on air or otherwise), reproduce, transform, translate, transmit digitally, and otherwise use for any purpose whatsoever (including, without limitation, advertising, commercial, promotional and publicity purposes) at The Ikoku Charitable Trusts’s and the Founder’s discretion without additional attribution, consideration, or notice to you or to any other person or entity;
16.26.5. User Property, License, Uses Compensation
and with such additional uses by The Ikoku Charitable Trusts made with no compensation to you with respect to your User Property as the use of the Products and Services, including the Sites, is hereby agreed as being sufficient compensation for your User Property and grant of rights herein.

— User Liability Indemnification

Section 16.27.0. With respect to indemnification and limitation of liability concerning intellectual and private property produced or otherwise processed during your access, activity, conduct, service, or other use or visit relating to the Sites or other Products and Services, you understand and agree to abide by the following:

16.27.1. Indemnification Attestation, Being Original Creator
that you covenant, represent, and warrant that you are the original author, creator, or producer of the User Property (except where you specifically indicate otherwise), that neither the consent nor permission of any other person or entity is required to enable The Ikoku Charitable Trusts to legally use your User Property in accordance with the above User Property License and that The Ikoku Charitable Trusts’s use of your User Property in accordance with the User Property License will not violate or infringe upon the rights of any person or entity, and that you own or otherwise control all of the rights to the User Property that you submit;
16.27.2. Indemnification Attestation, Limitation of Any Claim
that you covenant, represent, and warrant that, with respect to any claim you may have relating to or arising out of The Ikoku Charitable Trusts’s and the Founder’s actual or alleged use of any User Data and Information, User Material, or User Property generated or submitted to the Sites or The Ikoku Charitable Trusts, the damage, if any, thereby caused will not be irreparable or otherwise sufficient to entitle you to injunctive or other equitable relief or to in any way enjoin the exploitation or other use of any Product or Service of The Ikoku Charitable Trusts based on or allegedly based on the User Data and Information, User Material, or User Property, and your rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law;
16.27.3. Indemnification Attestation, Non-Claim of Violation
that you covenant, represent, and warrant that you irrevocably give up, release, and waive any claim that any use of such User Data and Information, User Material, and User Property violates any of your rights, including, without limitation, copyrights, patents, service- and trademarks, moral rights, privacy rights, proprietary or other property rights, publicity rights, or right to credit for the material or ideas, and forever release and discharge The Ikoku Charitable Trusts and its licensees from any and all claims you may have in connection with The Ikoku Charitable Trusts’s use of your User Property in accordance with the above User Property License;
16.27.4. Indemnification Attestation, Non-Injury, Non-Violation, Indemnification
that you covenant, represent, and warrant that the User Property you submit is accurate and truthful; that use of such User Property does not violate any of the Codes and Policies and will not cause injury to any person or entity; that you will indemnify The Ikoku Charitable Trusts, its official persons and parties, the Founder, and their assigns and successors for all claims resulting from such User Property; and that you are aware and agree that The Ikoku Charitable Trusts, its official persons and parties, the Founder, and their assigns and successors disclaim any responsibility and assume no liability for any User Data and Information, User Material, or User Property generated or submitted by you or any third party;
16.27.5. Indemnification Attestation, Non-Obligation
that you covenant, represent, and warrant that neither The Ikoku Charitable Trusts nor the Founder are obligated to use or otherwise process any of User Data and Information, User Material, and User Property you create, generate, or submit via the Products and Services, including the Sites, or The Ikoku Charitable Trusts and you have no right to compel such use;
16.27.6. Indemnification Attestation, Relationship
that you covenant, represent, and warrant that your relationship with The Ikoku Charitable Trusts is not a beneficiary, confidential, controlling, decision-making, fiduciary, ownership, voting, or other equivalent relationship, and that your decision to submit any User Material or User Property to the Products and Services, including the Sites, or to The Ikoku Charitable Trusts does not confer, provide or place you in such a relationship with The Ikoku Charitable Trusts or the Founder and furthermore does not place you in a position with respect to The Ikoku Charitable Trusts or to the Founder that is any different from the position held by members of the general public with regard to your User Data and Information, User Material, and User Property;
16.27.7. Indemnification Attestation, Use of Products, Services
that you covenant, represent, and warrant that, except as specifically permitted by Founder’s authorization, or as permitted more generally in the Intellectual and Private Property Policy, or the Codes and Policies, you will not copy, distribute, or otherwise make any use of the Products and Services, including the Sites, or The Ikoku Charitable Trusts, or any intellectual and private property relating to the Products and Services, including the Sites, or The Ikoku Charitable Trusts, or any derivations or variations thereof, or any part or portion thereof;
16.27.8. Indemnification Attestation, Use of Property
that you covenant, represent, and warrant that, except as specifically permitted herein, you will not use any intellectual and private property or proprietary  rights of the Products and Services, including the Sites, or The Ikoku Charitable Trusts, or the names of any individual contributor to the Products and Services, including the Sites, or any derivations or variations thereof, for any purpose, without prior authorization of the Founder as described above;
16.27.9. Indemnification Attestation, Understanding
that you covenant, represent, and warrant that the above contains the full and complete understanding between The Ikoku Charitable Trusts, the Founder, and you regarding The Ikoku Charitable Trusts’s use of User Data and Information, User Material, and User Property you create, generate, or submit via the Products and Services, including the Sites, or The Ikoku Charitable Trusts, and the above understanding cannot be modified except by the Founder’s authorization.
